These Terms of Use govern your access to and use of Critiquely's AI-powered writing and editing service, including our waitlist, document processing, AI analysis features, and user account functionality (collectively, the "Service"). By accessing or using any part of our Service, you agree to these Terms. If you do not agree, please do not use our Service.

Acceptance of Terms

By clicking "I accept", creating an account, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Third-Party Services

We use trusted third parties to operate the Service (for example, our database provider for data storage and authentication, AI model providers for analysis, and our analytics provider for website analytics). These providers act under agreements that require appropriate security and confidentiality. Your use of the Service constitutes consent to this processing.

You can control non-essential cookies, including analytics tracking, through our cookie banner. Essential cookies required for the Service to function cannot be disabled.

Purpose and Scope

Critiquely provides an AI-powered writing and editing service that helps writers improve their work through automated analysis, suggestions, and feedback. Our Service includes:

  • Document upload and processing capabilities
  • AI-powered analysis of writing style, grammar, and content
  • Personalized suggestions and critiques for improvement
  • User account management and document history
  • Waitlist functionality for early access and updates

The information you provide will be used only for the purposes described in our Privacy Policy and to deliver the Service functionality.

Eligibility

You must be at least 16 years old (or meet the minimum age in your country) to use our Service. If you are under 16, you must obtain verifiable parental or guardian consent before providing any personal information or creating an account. By using our Service, you confirm you meet these eligibility requirements and have the legal capacity to enter into this agreement.

You must provide accurate and complete information when creating an account or using our Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

User Conduct

You agree to use our Service responsibly and in accordance with these Terms. Prohibited conduct includes, but is not limited to:

  • Using automated scripts, bots, or other means to access or manipulate our Service.
  • Uploading, submitting, or processing content that is abusive, harassing, hateful, illegal, or violates third-party rights.
  • Providing false, misleading, or stolen information (including fake emails or account details).
  • Attempting to reverse engineer, hack, or compromise our Service or security measures.
  • Sharing your account credentials with others or creating multiple accounts to circumvent restrictions.
  • Using our Service for commercial purposes without authorization or in violation of applicable laws.
  • Uploading documents containing malware, viruses, or other harmful code.

Critiquely reserves the right to suspend or terminate accounts that violate these rules and to remove any content that violates our policies.

Privacy

Your personal information and document content is handled in accordance with Critiquely's Privacy Policy. By using our Service, you agree to our Privacy Policy. If you do not agree, do not use our Service. Our Privacy Policy explains what we collect, how we use it, and how you can exercise your rights to delete any information we hold.

Document Processing and AI Analysis

When you upload documents to our Service, we process them using AI technology to provide analysis, suggestions, and feedback. By uploading documents, you acknowledge and agree that:

  • You own the rights to the content you upload or have proper authorization to process it.
  • Your documents will be processed by our AI systems to generate analysis and suggestions.
  • We may store your documents and analysis results to provide the Service and maintain your document history.
  • AI-generated suggestions are recommendations only and should be reviewed before implementation.
  • We do not claim ownership of your content, but you grant us necessary rights to process and analyze it.

Free Model Training Consent

Some free AI models available through Critiquely (e.g., Grok 4 Fast via OpenRouter) are provided by third parties who may use your prompts and completions to improve their models. By choosing to use these models, you:

  • Give explicit consent for the underlying model provider (e.g., xAI for Grok 4 Fast) to retain and train on your inputs and outputs.
  • Understand that this consent is a legal agreement directly with the model provider (not Critiquely, and not OpenRouter).
  • Acknowledge that if you withdraw consent, your access to these models will end.
  • Accept responsibility for reviewing the provider's terms and privacy policies.
  • Agree that Critiquely is not responsible for the data handling practices of third-party model providers.

Account Management

To access certain features of our Service, you will need to create an account. You are responsible for:

  • Providing accurate and complete registration information.
  • Maintaining the security of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account at: hello@critiquely.app

We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited conduct. You may terminate your account at any time by contacting us.

Intellectual Property

All content on our Service — including Critiquely's name, logo, text, graphics, design, software, and AI technology — is owned by Critiquely or its licensors and is protected by intellectual property laws. You may not copy, reproduce, or reuse our branding, content, or technology without prior written permission.

If you believe content on the Service infringes your intellectual property rights, please contact us at hello@critiquely.app with a detailed notice, and we will review and respond appropriately.

You retain ownership of the content you upload to our Service. However, you grant us a limited license to process, analyze, and store your content as necessary to provide the Service. You are responsible for ensuring you have the rights to any content you upload.

Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. CRITIQUELY (AND ITS AFFILIATES) ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE. Critiquely is not liable for downtime, service interruptions, data loss, or missed communications.

Fees and Subscriptions

We may introduce paid plans or fees for certain features. If we do, subscription terms, renewal, cancellation and refund policies will be presented at the point of purchase and will form part of these Terms.

Service Availability

The Service may be temporarily unavailable for maintenance or updates. We will use reasonable efforts to provide notice of planned downtime but are not liable for any unavailability.

Beta and Pre-Release Features

Certain features may be labeled as beta, preview, or experimental and may change, break, or be discontinued at any time. These features are provided without any warranty, and your use is at your own risk.

AI-generated suggestions and analysis are provided for informational purposes only and should not be considered as professional writing, editing, or legal advice. You are responsible for reviewing and validating any AI-generated content before use. Critiquely does not guarantee the accuracy, completeness, or quality of AI-generated suggestions.

Access to certain features may be limited or restricted. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

Changes & Termination

Critiquely may modify, suspend or discontinue the Service or these Terms at any time. We may notify you of material changes, but it is your responsibility to review the Terms periodically. Continued use of the Service after changes indicates your acceptance of the updated Terms.

Informal Dispute Resolution

Before raising a claim, you agree to contact us at hello@critiquely.app and allow 30 days for us to try to resolve the issue informally.

No Class Actions

Where permitted by law, disputes will be brought only on an individual basis and not as a class, consolidated, or representative action.

Feedback

If you submit ideas, suggestions, or feedback, you grant Critiquely a perpetual, irrevocable, royalty-free license to use and incorporate them into the Service without compensation or obligation.

Content Retention and Backup

We recommend making backup copies of your documents before uploading them to our Service. While we take reasonable measures to protect your data, you are responsible for maintaining your own backups. We are not a backup service and may delete content upon account termination.

Notices

We may send legal notices by email to the address associated with your account. You consent to receive communications electronically and agree that such communications satisfy legal requirements.

Indemnification

You agree to indemnify and hold Critiquely, its affiliates, and their officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your content, your use of the Service, or your violation of these Terms or applicable law.

Governing Law and Venue

These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the courts of England and Wales for any disputes arising out of or relating to these Terms or the Service.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms at any time. These Terms bind and benefit the parties and their permitted successors and assigns.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including outages, labour disputes, or acts of nature.

Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and Critiquely regarding the Service and supersede any prior or contemporaneous agreements.
